Agreement Overview
This agreement is between [CLIENT] and Honest Oak SEO LLC, a Virginia-based business, to clearly outline the terms of our working relationship.
Our Commitment to You
Honest Oak offers SEO services on a one-time or recurring monthly basis. We will strive to deliver high-quality work in a professional and timely manner.
Your Commitment to Us
To help us provide the best service, you agree to supply the necessary materials, logins, and feedback promptly.
Access to Online Accounts
- Provide working logins within one week of signing this agreement.
- Update us with new logins within 24 hours if changes occur.
- Respond to our requests within five days to ensure smooth progress.
Billing and Payment
- Payments are due upon invoicing.
- We understand that circumstances change, and you may cancel at any time. However, because Honest Oak begins SEO work at the start of each billing cycle, we do not offer prorated refunds. If cancellation is made after the start of a billing cycle, the agreement will terminate at the end of the billing cycle.
- Late payments over 30 days past due will be assessed a $50 late fee.
- If payment is 60 days late, a 2% interest fee will be applied monthly.
Working with Other Professionals
We may engage trusted subcontractors to ensure the best possible results for your project.
Copyright and Trademarks
You confirm that any materials you provide (text, images, designs, etc.) are owned by you or that you have permission to use them. We are not responsible for any copyright issues that arise from client-provided materials.
SEO Volatility
SEO is a competition. There are hundreds of factors that can affect SEO results and ranking position, including regular algorithm changes and competitor behaviors. We intend for our work to deliver long-term growth. However, short-term rankings volatility is common and to be expected.
Content Accuracy
We create unique, high-quality content to showcase your business and improve your rankings. But we are SEO experts, not experts in your industry. It is your responsibility to review the content we provide to ensure it represents your business accurately. We will happily make any content changes you request.
Online Security
We follow industry best practices to protect your account data and logins, including your website, Google Business Profile, and social media accounts. It is equally important for you to protect your sensitive data, logins, and website. Honest Oak does not provide webmaster, web-hosting, or online security services and is not responsible for security breaches on client accounts or systems.
Portfolio and Credit
With your consent, we may showcase your website in our portfolio to demonstrate the work we’ve done. While participation is entirely optional, doing so may help increase visibility and attract additional attention to your site.
Recording Conversations
To improve our service, we may record meetings and calls. All recordings will be kept confidential.
Handling Disputes
Any legal disputes will be resolved in Charlottesville, Virginia, following Virginia state laws.
Changes to This Agreement
Changes must be made in writing (email is acceptable) and agreed upon by both parties.
Service Disclaimer
We work hard to provide great results, but we do not guarantee that our services will be error-free or meet every expectation.
Limitation of Liability
Neither party will be liable for damages exceeding the amount paid in the six months before a claim.
Keeping Information Private
Both parties agree to keep each other’s confidential information secure for three years.
Ending the Agreement
Either party can end this agreement with a written notice (email works). Please also see the section above on Billing and Payment obligations.
Compliance with Laws
You are responsible for following any laws related to online business and will not hold us liable for any legal issues that arise from your website or online activities.
