1. Agreement Overview
These Terms and Conditions (“Terms”) govern your use of the Managed Website Service (“Service”) provided by Honest Oak SEO (“we,” “us,” or “our”). By purchasing or using the Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
Our Managed Website Service provides small businesses with a modern, professional, and fully managed website solution without the burden of handling technical details.
2. Service Inclusions
Your Managed Website plan includes:
- A custom-designed website (up to 5 pages) built to attract and convert customers
- Domain registration and website hosting managed by Honest Oak SEO
- Ongoing maintenance and content updates (up to 1 hour per month)
- Two rounds of design revisions during the initial build process
- Typical turnaround of 2 weeks for initial review following content receipt
- U.S.-based customer support
- One complimentary website redesign every 3 years upon request
3. Fees and Payment Terms
Standard Fees:
- One-time design and setup fee for all new websites
- Monthly hosting and maintenance fee (payable monthly or annually at your choice)
Payment Requirements:
- All payments are due in advance
- Payments are non-refundable except as expressly stated in Section 4
Additional Services (quoted separately and subject to approval):
- Website pages beyond the 5-page limit
- Custom functionality or programming
- Advanced integrations or third-party widgets
- Professional logo design (basic logo design included at no extra charge)
4. Satisfaction Guarantee
We are committed to your satisfaction. If you are not satisfied with the initial design before launch, we will refund your setup fee in full. After your website is published live, all fees become non-refundable except for unused portions of prepaid annual subscriptions as described in Section 5.
5. Contract Term and Cancellation
Service Period:
- We provide service on a month-to-month basis with no long-term contract required
- Service automatically renews at the end of each billing period unless canceled
Cancellation:
- You may cancel at any time by providing written notice via email to [email protected]
- Cancellation takes effect at the end of your current billing period
- No partial-month refunds are issued for monthly subscriptions
- For annual subscriptions canceled mid-term, refunds are calculated on a month-to-month basis (deducting the monthly rate for each month of service used)
6. Ownership and Intellectual Property
Domain Name: You retain full ownership of your domain name and may transfer it to another registrar at any time upon request.
Website Design and Platform: Websites are built on our proprietary managed platform and cannot be transferred to another hosting provider. You are free to recreate the design or content independently elsewhere.
Your Content: All text, images, logos, and business information you provide remain your property. By using the Service, you grant Honest Oak SEO a non-exclusive, royalty-free license to use such content solely for the purpose of building, hosting, and maintaining your website.
7. Website Build and Launch Process
Step 1 – Onboarding: Complete a brief questionnaire about your business, services, target audience, and design preferences.
Step 2 – Initial Build: We will design your website and provide a preview link for your review, typically within 2 weeks of receiving all required content and materials.
Step 3 – Revisions: You may request up to 2 rounds of revisions. Each revision round requires approximately 5 business days to complete.
Step 4 – Launch: Once you approve the final design, we will publish your website to your live domain.
8. Ongoing Updates and Maintenance
Your plan includes up to 1 hour of website updates per month, which may include:
- Text or image updates
- Contact information changes
- Minor design adjustments
- Basic content additions
Important Notes:
- Unused monthly update time does not roll over to subsequent months
- Updates requiring more than 1 hour, new functionality, or significant redesign work will be quoted separately and require your advance approval
- Update requests should be submitted via email and will be completed within 5-7 business days under normal circumstances
9. SEO and Marketing Services
While your website is built using SEO-friendly best practices (including clean code, mobile responsiveness, and proper meta tags), the Managed Website Service does not include:
- Ongoing SEO optimization or keyword research
- Google Business Profile setup or management
- Content marketing or blog writing
- Social media management
- Paid advertising campaigns

10. Cancellation and Data Retention
Upon cancellation of the Service:
- Your domain name will be available for transfer to a registrar of your choice (transfer instructions will be provided upon request)
- Your website will remain active and accessible until the end of your paid billing period
- After your billing period ends, your website will be removed from our servers and will no longer be accessible online
- We strongly recommend downloading or saving copies of your text, images, and other content before cancellation if you plan to rebuild elsewhere
- Honest Oak SEO retains no obligation to store or provide access to website files after the termination of service
11. Service Limitations and Disclaimers
Uptime and Performance: While we strive to maintain high uptime and optimal performance, occasional service interruptions may occur due to scheduled maintenance, system upgrades, or third-party service disruptions.
Limitation of Liability: Honest Oak SEO shall not be held liable for:
- Temporary service outages or downtime
- Data loss (clients are responsible for backing up their own content)
- Performance issues caused by third-party services or internet connectivity
- Any indirect, incidental, consequential, or punitive damages arising from use of the Service
Maximum Liability: In no event shall Honest Oak SEO’s total aggregate liability to you for any and all claims arising from or related to the Service exceed the amount of the initial setup fee you have paid. This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
Indemnification and Hold Harmless: You agree to defend, indemnify, and hold harmless Honest Oak SEO, its owners, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Service
- Any content you provide or publish on your website
- Your breach of these Terms
- Your violation of any applicable laws or regulations
- Any third-party claims arising from your website content, including but not limited to claims of copyright infringement, trademark violation, defamation, false advertising, or misleading representations
- Any products or services you offer, promote, or sell through your website
This indemnification obligation survives termination of the Service.
12. Client Responsibilities
Content Delivery: You agree to provide all necessary materials (business information, text, images, branding assets, etc.) within the timeframes requested. Delays in providing content may extend the website build timeline accordingly.
Content Accuracy and Legality: You are solely responsible for ensuring that all content displayed on your website is:
- Accurate and up to date
- Truthful and not misleading
- Compliant with all applicable laws and regulations
- Free from intellectual property infringement
While Honest Oak SEO manages the technical hosting and maintenance of your website, you retain full legal responsibility for all published content, including product descriptions, pricing, claims, and representations about your business or services.
Update Obligations: If any information on your website becomes outdated, inaccurate, or misleading, you must notify us in writing immediately so that we can make appropriate updates. Honest Oak SEO will not be held liable for any legal, reputational, financial, or other damages arising from incorrect, outdated, or unlawful website content.
Account Maintenance: You agree to maintain current and accurate billing information and to comply with all applicable laws regarding your website content and business operations.
13. Modifications to These Terms
We reserve the right to modify these Terms at any time. Any changes will be communicated to you via email or posted on our website with at least 30 days’ notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you may cancel your Service in accordance with Section 5.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Virginia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration in Charlottesville, Virginia, in accordance with the rules of the American Arbitration Association.
